PLEASE READ THE MEMBERSHIP TERMS CAREFULLY BEFORE APPLYING FOR THE GSV GLOBAL MEMBERSHIP

Background
We are the GSV Global M&A Network ('We', 'us', 'GSV Global Network') operated by GS Verde Group Limited, an international network comprised of experts in mergers, acquisitions, investments, and business sales transactions from around the globe. We work on the principles of trust and collaboration. Covering a wide range of sections, we are made up of professional advisors who are passionate about providing high-quality services and working collaboratively to achieve success for their clients.

By applying for a Membership within the GSV Global M&A Network (the 'GSV Global Membership'), you, on behalf of the company, business or firm that is making an application for GSV Global Membership ("you") confirm that you accept these GSV Global Membership Terms and Conditions ('Membership Terms') and that you agree to comply with them. If you do not agree to these Membership Terms, you must not apply for the GSV Global Membership.

We reserve the right to change these Membership Terms from time to time, or transfer any of our rights and obligations under these Membership Terms to another organisation.
We will inform you of any changes in writing.

GSV Global Client
This includes any company, individual, firm or otherwise who (i) gets in touch with us; (ii) who we introduce to you; and (iii) who finds, contacts, and engages you via the GSV Global Network.

GSV Global Members
This means all membership holders within the GSV Global Network who have been granted GSV Global Membership by us. All GSV Global Members are required to satisfy our prescribed Membership Criteria.

GSV Global Membership Criteria
You must have, and must be able to demonstrate that you have, the relevant right, qualification, permission, certification, and professional insurance to carry out corporate law, corporate finance and / or tax services ('Your Services') in the relevant jurisdiction(s) in which you hold yourself out as being qualified and permitted to provide Your Services ('Your Jurisdiction').
You must maintain and must be able to demonstrate that you are maintaining, your relevant right, qualification, permission, certification, and professional insurance required for always carrying out Your Services in Your Jurisdiction during your GSV Global Membership.

Application and Review Process
Once you have submitted your application to us, we will review your application and we may ask for further proof that you meet our Membership Criteria. We will admit you to the GSV Global Network as an GSV Global Member, only if we are satisfied that you meet the Membership Criteria.
You shall inform us immediately if you cease to meet our Membership Criteria and we may immediately terminate your GSV Global Membership. You can re-apply once you are able to demonstrate that you meet our Membership Criteria again.
We may ask for proof that you meet our Membership Criteria when you renew your GSV Global Membership with us.

Membership Term
You GSV Global Membership term is 12 months, commencing on the date we send you the written confirmation that you have been successful in the GSV Global Membership application process.
1 month prior to the expiration of your GSV Global Membership, we will be in touch with you to discuss renewal of your GSV Global Membership.
Your GSV Global Membership can be terminated by you or us at any time with no less than 3 months' prior written notice.

GSV Global Member Benefits
We will ask you to provide accurate and up to date information, such as, the name and contact details of the main contact person for your GSV Global Membership, company name, logo, company photo, website URL, LinkedIn account link, a biography of your company, and a description of Your Services ('Your Company Information').
Your Company Information will then be added to our GSV Global Network database and shared with all GSV Global Members internally. You will also have access to the GSV Global Network database, so that you may collaborate with other GSV Global Members around the globe to carry out international transactions.
Your Company Information may be shared with any GSV Global Clients. We may also publish Your Company Information on our website (https://www.gsvglobal.network/), so that GSV Global Clients may find you from our website and contact you directly.
We promise to only link to your website in a way that is fair and legal and does not damage your reputation, and you may also link to our website provided you do so in a way that is fair and legal and does not damage our reputation.
We do not guarantee any referrals or work through the GSV Global Network.

GSV Global Member Obligations
You shall act in good faith towards us, the GSV Global Clients, and other GSV Global Members.
You must maintain your relevant right, qualification, permission, certification, and professional insurance required for always carrying out Your Services in Your Jurisdiction during your GSV Global Membership and shall inform us immediately if you cease to meet our Membership Criteria.
Your Company Information should be accurate and up to date. If anything in Your Company Information changes, you shall inform us promptly.
You shall provide Your Services to GSV Global Clients or other GSV Global Members to the best of your abilities, should you agree to provide Your Services to any GSV Global Clients.
You shall bear full liability for Your Services or any of your interaction with GSV Global Clients and other GSV Global Members, which should not be interpreted as approved by us.
You shall, at your own expense, ensure that you comply with the requirements of all legislation and regulatory requirements in force from time to time relating to Your Services in Your Jurisdiction.
You shall not disclose any confidential information shared to you within the GSV Global Network. You may be required to enter into a separate confidentiality agreement before any GSV Global Client confidential information is provided to you.
You agree to indemnify us in full against any sums awarded by a court against us arising of or in connection with (i) Your Services to, or interaction with any third party, including but not limited to the GSV Global Clients and other GSV Global Members; and (ii) your breach of any obligations under the Membership Terms.

Membership Fees
There are currently no Membership Fees, however we reserve the right to charge you Membership Fees in the future.
We will inform you in writing 3 months prior to any change to our Membership Fees policy in this section, and you can decide whether to stay as an GSV Global Member or cancel your GSV Global Membership with us.

Commission and Commission Fees
As one of the Membership Benefits, GSV Global Clients may find, contact, instruct, or engage you via the GSV Global Network. There are currently no commission fees for you to provide Your Services to an GSV Global Client, however we reserve the right to charge you commission fees in the future.
We will inform you in writing 3 months prior to any change to our commission fees policy in this section, and you can decide whether to stay as an GSV Global Member or cancel your GSV Global Membership with us.

Our Right to Use Your Trademark
From the date your GSV Global Membership commences, you grant us the following rights to use your trademark:
A worldwide, non-exclusive, royalty-free, transferable licence to use, reproduce and display the trademarks, in connection with your GSV Global Member Benefits, including being published on our website and across different media by us, which shall automatically expire when your GSV Global Membership is expired or terminated.

Your Right to Use Our Logo
From the date your GSV Global Membership commences, we grant you the following rights to use our logo 'GSV Global M&A Network', as shown on our website and may be updated by us from time to time (https://www.gsvglobal.network/) (the 'Logo'):
A worldwide, non-exclusive, royalty-free, transferable licence to use, reproduce and display the Logo, in connection with your GSV Global Membership, including being published on your website and across different media by you, which shall automatically expire when your GSV Global Membership is expired or terminated.

Your Personal Data
We will only collect and use your personal information as set out in our privacy policy.

Jurisdiction
These Membership Terms, their subject matter and their formation and any non-contractual disputes or claims are governed by the laws of England and Wales. We both agree to the exclusive jurisdiction of the courts of England and Wales.
